Welcome to Supagigs, a platform operated by SUPAGIGSAI TECHNOLOGIES PRIVATE LIMITED ("we," "us," or "our"). By accessing or using our website, mobile applications, or any other services we offer (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We may modify these Terms at any time. Your continued use of our Services after we post modifications to these Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

6.1 For Accountants

If you register as an accountant on our platform, you agree to:

• Provide accurate information about your qualifications, experience, and services
• Deliver services as described in your profile and as agreed with clients
• Maintain professional standards and ethics in all client interactions
• Comply with all applicable laws, regulations, and professional standards
• Pay all applicable fees and taxes associated with your use of our Services

6.2 For Clients

If you register as a client on our platform, you agree to:

• Provide accurate information about your requirements and business
• Pay for services as agreed with accountants through our platform
• Communicate professionally with accountants
• Provide necessary information and cooperation to accountants to enable them to provide their services
• Comply with all applicable laws and regulations

7. Fees and Payments

We may charge fees for certain aspects of our Services. All fees are non-refundable unless otherwise stated or required by law.

For clients, payment for services is due as specified in the service agreement with the accountant. For accountants, we may deduct a service fee from payments received from clients.

You agree to provide accurate and complete billing information, including a valid payment method. You authorize us to charge your payment method for all fees incurred.

8. Intellectual Property

Our Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by us, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in our Services or any content, features, or functionality thereof.

9. User Content

You retain ownership of any content you submit, post, or display on or through our Services ("User Content"). By submitting, posting, or displaying User Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to submit, post, or display your User Content and that your User Content does not violate the rights of any third party.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

13. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, directors, employees, agents, and licensors from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of our Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another person or entity

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

15. Miscellaneous

These Terms constitute the entire agreement between you and us regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
